Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the ScribeTools website, applications, and services (collectively, the “Service”). The Service is provided by ScribeTools, a company organized under the laws of the State of Delaware, United States (“ScribeTools,” “we,” “us,” or “our”). Please read these Terms carefully.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, in which case “you” refers to that organization. If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

ScribeTools provides agentic optical character recognition, document translation, and related document processing capabilities. The Service enables users to upload documents and images and to receive structured digital outputs, including but not limited to text, searchable PDFs, DOCX files, JSON, and Markdown.

3. Accounts and Eligibility

You must be at least sixteen (16) years of age to use the Service. You agree to provide accurate, current, and complete information when creating an account, to keep your account credentials confidential, and to promptly notify us of any unauthorized use of your account. You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • upload, process, or distribute content that is unlawful, infringing, defamatory, obscene, or otherwise objectionable;
  • process personal information of third parties without the legal authority or consent required to do so;
  • attempt to reverse engineer, decompile, or otherwise extract source code, model weights, or training data from the Service;
  • attempt to circumvent rate limits, usage quotas, or other technical restrictions of the Service;
  • use the Service to develop, train, or evaluate any product or model that competes with the Service;
  • introduce malware, conduct security probing without prior written permission, or otherwise interfere with the integrity or performance of the Service.

We reserve the right, but are not obligated, to investigate and to suspend or terminate accounts that violate these Terms.

5. Customer Content and License

“Customer Content” means any documents, images, files, prompts, instructions, intermediate processing artifacts, and output files that you upload to or generate through the Service. As between you and ScribeTools, you retain all right, title, and interest in and to your Customer Content. You grant ScribeTools a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, copy, process, and display Customer Content solely to the extent necessary to provide the Service to you.

ScribeTools will not use Customer Content to train, fine-tune, or otherwise improve any artificial intelligence model — our own or any third party’s — and our subprocessors are contractually prohibited from doing so.

You represent and warrant that you have all rights, consents, and authorizations necessary to upload Customer Content to the Service and to grant the license set forth in this Section.

6. Subscriptions, Credits, Billing, and Refunds

Certain features of the Service are offered on a paid subscription basis or on a credit-based usage basis. Subscriptions and credit purchases are processed through Stripe. By providing payment information, you authorize us (and our payment processor) to charge the applicable fees and applicable taxes.

Subscriptions renew automatically at the end of each billing period at the then-current rate, unless cancelled before the renewal date through your account settings or our billing portal. Credits, where applicable, are non-refundable and non-transferable, and may expire as disclosed at the point of purchase. Except where required by applicable law, all fees are non-refundable once incurred.

7. Intellectual Property

The Service, including all software, models, designs, text, graphics, logos, and trademarks, is owned by ScribeTools or its licensors and is protected by intellectual property and other applicable laws. Except for the limited rights expressly granted to you in these Terms, no other rights or licenses are granted, whether by implication, estoppel, or otherwise.

8. Third-Party Services

The Service relies on third-party providers for storage, payments, analytics, and AI processing, as identified in our Privacy Policy. Although we contractually require those providers to maintain appropriate security and confidentiality protections, we do not control them, and we are not responsible for the accuracy, content, or behavior of third-party outputs that the Service may relay to you.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCRIBETOOLS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE OUTPUTS PRODUCED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

Outputs of optical character recognition, translation, and related machine learning processes are inherently probabilistic and may contain errors. You are responsible for reviewing outputs before relying on them — particularly in legal, medical, financial, or other high-stakes contexts.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SCRIBETOOLS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SCRIBETOOLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SCRIBETOOLS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SCRIBETOOLS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

11. Indemnification

You agree to defend, indemnify, and hold harmless ScribeTools and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your Customer Content, or (c) your violation of these Terms or any applicable law.

12. Termination

You may terminate your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have violated these Terms or that suspension is necessary to protect the Service, our users, or third parties. Upon termination, the rights and licenses granted to you under these Terms will cease, and Customer Content will be handled in accordance with our Privacy Policy. Sections that by their nature should survive termination will survive, including without limitation Sections 5 (Customer Content and License, with respect to outputs you have already received), 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law and Disputes).

13. Governing Law and Dispute Resolution

These Terms are governed by, and will be construed in accordance with, the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Service through informal negotiation. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party irrevocably consents to the personal jurisdiction and venue of those courts.

You and ScribeTools each agree that any dispute will be brought in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. Nothing in this Section limits either party’s right to seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice through the Service or by email. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.

15. Miscellaneous

These Terms, together with our Privacy Policy and any applicable order form or Enterprise agreement, constitute the entire agreement between you and ScribeTools regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms at our discretion.
